Job Description:
Description: General Counsel TARGAN is currently seeking a
General Counsel. As General Counsel, you will serve as the first
in-house legal hire for the company during a period of rapid
growth. In this role, you will build and scale our legal function.
You'll own and manage all things legal at the company, from
drafting and negotiating critical agreements with our customers;
building and executing on our data privacy, regulatory and IP
strategies; maturing our employment policies and processes; leading
corporate governance and financing initiatives; and serving as a
key leader of the company. You will report directly to, and serve
as trusted confidant to, the company's Founder and CEO. You must
demonstrate an ability to successfully interact with all levels of
the organization, outside counsel, investors and customers. Key Job
Responsibilities
- Act as a strategic partner to the CEO and Leadership team of a
growing technology company.
- Counsel the company's Board, senior leadership and employees on
a diverse set of legal questions, including contract negotiation
and interpretation, compliance with regulation, litigation, IP
protection, employment, financing, and more
- Address a wide range of transactional matters, including
drafting, review and negotiation of a broad range of commercial
contracts, with a significant focus on supporting sales, marketing,
operations, and clinical research relationships with customers,
suppliers, service providers, collaborators, and consultants
- Provide guidance and training to assure compliance with
applicable laws and regulations, including the FCPA and other
anti-corruption laws, and partner with the Executive team to create
a compliance program and process as the company expands nationally
and internationally
- Lead legal strategy in connection with M&A, financings, and
other strategic transaction
- Employ and actively manage external legal counsel to ensure
appropriate service and quality levels and contain costs
- Design and deliver training programs for business colleagues on
a variety of subjects
- Manage and monitor the Company's contracts
- Ability to work with all functional areas and levels of the
organization to address a wide variety of issues
- Employ and exercise judgment to analyze issues and make
recommendations with minimal or no supervision

assignedRequirements:RequirementsStudies and Experience:
- J.D. from a top-tier law school and admission and membership in
good standing of the bar of North Carolina
- 10+ years of legal experience, preferably with at least 2 years
of in-house experience at a high growth technology company
- Prior experience with medical devices, life sciences, or
clinical diagnostics is a significant plus
- Significant experience successfully and efficiently negotiating
technology agreements
- Experience supporting financing and cross-border
transactionsSkills and Qualifications:
